Disclaimers and Limitations of Liability

This Disclaimers and Limitations of Liability Policy (“Policy”) governs your access to and use of the Village Haven platform, including the website, mobile application, and related services (collectively, the “Platform”). This Policy applies to all users of the Platform. By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Policy to the fullest extent permitted by applicable law. Village Haven LLC is a Wyoming limited liability company that offers the Platform to Users, including Users located in California (“Village Haven,” “we,” “us,” or “our”).
This Policy applies to all users of the Platform, including households, families, service providers, caregivers, and visitors (“Users”).
1. Disclaimer of Warranties
To the fullest extent permitted by applicable law, Village Haven LLC, its parent ministry, affiliates, and each of their respective officers, directors, managers, members, volunteers, employees, contractors, agents, and representatives (collectively, “Village Haven Parties”) make no representations or warranties of any kind regarding:
- Suitability, reliability, availability, timeliness, accuracy, completeness, security, legality, or quality of the Platform;
- Any user profiles, listings, credentials, reviews, ratings, communications, or other user-generated content;
- Any background check, identity verification, screening badge/indicator, or similar feature (if offered);
- Payment processing or payout timing;
- Any services offered or provided by Users (including Service Providers/caregivers).
Marketplace-only role:
- We operate solely as a technology marketplace and facilitation platform to enable Users to connect and communicate.
- We do not provide caregiver services and are not a party to any agreement between a household/family and a Service Provider/caregiver.
- We do not employ, supervise, direct, control, manage, or endorse any User or Service Provider.
- We do not guarantee the identity, conduct, performance, qualifications, licensing, legality, safety, suitability, or outcomes of any service or interaction.
To the fullest extent permitted by law, the Platform and all content are provided “AS IS” and “AS AVAILABLE,” with all faults and without warranties of any kind—express, implied, or statutory—including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and availability. The Platform may contain inaccuracies, delays, interruptions, security limitations, or errors, and Village Haven does not warrant that the Platform will be uninterrupted, timely, secure, or error-free. Some jurisdictions (including California) do not allow certain warranty disclaimers; this Section applies to the maximum extent permitted by law.
2. User Interactions; Assumption of Risk
Interactions, communications, and engagements between Users and Providers occur solely at your own risk. Village Haven is not responsible for the actions, omissions, or conduct of any User or Provider, whether online or in person. To the fullest extent permitted by law, you assume all risks arising from interactions facilitated through the Platform, including risks related to personal safety, childcare assistance, home entry, property damage, personal injury, emotional distress, or financial loss.
Without limiting the foregoing, Users are solely responsible for:
- Performing your own due diligence (interviews, reference checks, credential checks, supervision decisions);
- Complying with all applicable laws and regulations;
- Using appropriate safety practices when meeting or allowing home entry.
Release (where permitted). To the fullest extent permitted by applicable law, you release and discharge the Village Haven Parties from any and all claims, demands, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Platform or interactions with other Users, except to the extent caused by a Village Haven Party’s fraud, willful misconduct, or gross negligence, or to the extent such a release is prohibited by applicable law.
California Civil Code Section 1542 Waiver.
If you are a California resident, you waive California Civil Code Section 1542, which provides: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” You understand and agree that this waiver applies to the release in this Section to the fullest extent permitted by law.
3. Payments; Third-Party Processing; Disclaimer and Waiver
Payments for services arranged through the Platform are processed through Stripe Connect or another third-party payment processor designated by Village Haven (collectively, “Payment Processor”). Your use of any Payment Processor is subject to that Payment Processor’s terms, conditions, and privacy practices. Village Haven disclaims liability for payment delays, reversals, chargebacks, failed transactions, technical errors, or disputes arising from Payment Processor services to the maximum extent permitted by law.
- Fee structure: The Service Provider/caregiver sets the Provider Fee and is intended to receive it (subject to processor rules). Village Haven separately charges the household/family a Platform Fee (currently 15% of the Provider Fee, or the amount disclosed at checkout), in addition to the Provider Fee.
- Authorization: By completing a booking, you authorize charging your payment method for the Provider Fee (for the Service Provider/caregiver), the Platform Fee (for Village Haven), and applicable taxes, as presented at checkout.
- No bank/escrow: Village Haven does not act as a bank, escrow agent, fiduciary, or money transmitter. Payment processing, settlement, and payout timing are controlled by the Payment Processor and card networks under their rules and risk controls.
- Processor actions: The Payment Processor may place holds, delays, reserves, or reversals based on risk, compliance, or fraud controls. Village Haven disclaims liability for such actions to the maximum extent permitted by law.
- Taxes: Users and Providers are solely responsible for income reporting, tax compliance, and related obligations. Village Haven does not provide tax, financial, or accounting advice.
You acknowledge and agree that payment processing is performed solely by Stripe and that Village Haven disclaims all liability for payment delays, reversals, chargebacks, failed transactions, technical errors, or disputes arising from Stripe’s services. All payment activity is governed by Stripe’s terms and policies. You acknowledge that the Payment Processor may place holds, delays, reserves, or reversals based on its risk, compliance, or fraud controls, and Village Haven disclaims liability for such actions to the maximum extent permitted by law.
Users and Providers are solely responsible for income reporting, tax compliance, and any related legal obligations. Village Haven does not provide tax, financial, or accounting advice. To the fullest extent permitted by law, you waive and release Village Haven from any claims or liabilities arising out of or related to payment processing or third-party payment services. This waiver/release does not apply to the extent prohibited by applicable law and does not limit liability for Village Haven’s fraud, willful misconduct, or gross negligence where such limitation is not permitted.
4. Third-Party Services and External Links
- The Platform may integrate with or link to third-party services, tools, websites, or vendors (e.g., background screening providers, payment processors). Village Haven does not control and is not responsible for their availability, accuracy, security, or performance.
- Use of third-party services is at your own risk and subject to the third party’s terms and policies. Village Haven disclaims liability arising from such services.
- FCRA/screening: If the Platform offers or displays identity verification, background check, or screening-related information, it may be provided by third-party vendors and may be incomplete, outdated, or inaccurate. Village Haven is not a consumer reporting agency and does not provide consumer reports under the FCRA, except as expressly stated in a separate written agreement. Users are responsible for complying with applicable laws (including FCRA and state analogs) if they use screening information in eligibility, hiring, or engagement decisions.
5. No Indirect or Consequential Damages
To the fullest extent permitted by applicable law, no Village Haven Party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, opportunity, business interruption, personal injury, emotional distress, reputational harm, or property damage, arising out of or related to: (a) the Platform; (b) any content, profiles, listings, reviews, ratings, communications, or screening indicators; (c) any payment processing or Payment Processor services; or (d) any interactions, transactions, or disputes between Users, even if advised of the possibility of such damages. This Section applies to the maximum extent permitted by law.
6. Limitation of Liability
To the fullest extent permitted by applicable law (including California law as applicable to California Users), the Village Haven Parties will not be liable for damages arising out of or related to use of the Platform, except to the extent such liability cannot be limited under applicable law.
Village Haven’s liability (if any) is limited to direct damages actually and proximately caused solely by Village Haven’s own breach of this Policy and does not include damages arising from the acts or omissions of Users, Service Providers/caregivers, Customers, or third parties (including Payment Processors and screening/background check vendors).
Liability cap.
To the fullest extent permitted by applicable law, the total aggregate liability of the Village Haven Parties for all claims arising out of or related to the Platform, this Policy, or any interaction or transaction between Users will not exceed the total Platform Fees actually paid by the claiming User to Village Haven in the twelve (12) months immediately preceding the event giving rise to the claim. If no Platform Fees were paid by that User in that period, the cap will be US$100.00.
Required carve-outs.
Nothing in this Policy excludes or limits liability for fraud, willful misconduct, or gross negligence to the extent such liability cannot be limited under applicable law, or for any other liability that cannot lawfully be limited or waived.
Nothing in these Terms is intended to exclude or limit any rights or remedies that cannot be waived under California law.
Non-waivable rights savings. Nothing in this Policy limits any non-waivable rights you may have under applicable consumer protection, unfair competition, or other laws.
7. Material Term Acknowledgment
You acknowledge and agree that the limitations of liability set forth in this Section are a fundamental element of the agreement between you and Village Haven, and that Village Haven would not make the Platform available without them, to the extent permitted by applicable law. These disclaimers, releases, and limitations reflect a reasonable allocation of risk and are an essential basis of the bargain between you and Village Haven.
